Louisiana LLCs: Formation and Operating Agreement Basics
Strictly speaking, just registering as an LLC is not enough to protect your business. LLCs, especially one-person LLCs, are respected by courts more if they have an LLC Operating Agreement. Operating a business without formalizing an operating agreement, stating ownership, voting rights and contributions can have negative effects on taxation and other business matters. Phelps Dunbar attorney Mark Jeanfreau will present on “Louisiana LLCs: Formation and Operating Agreement Basics.” Mr. Jeanfreau will cover matters related to organizing an LLC (including the chief differences between an LLC and an S-Corp.) and the major issues LLC members need to address in the LLC operating agreement. Phelps Dunbar attorney Brandon Davis will also present on the Department of Labor’s much-anticipated final rule raising the salary level for employees to be classified as exempt from overtime under the FLSA. This recent rule change nearly doubles the threshold from $23,660 annually to $47,476 annually, and impacts "white collar" overtime exemptions under the Fair Labor Standards Act. The discussion will analyze the impact that the overtime changes will have on employers and what employers will need to do to establish compliance or remain in compliance.
